The rules of the road for using JDM Inc.
Short, direct, and written to be read. These Terms govern the site, the apps, the adapter APIs and the pilot programme. The highlights are below; the full agreement is beneath them.
What these Terms actually say.

By using the Services, you agree to these Terms.
These Terms of Service (the "Terms") form a binding agreement between you and JDM Inc., a California corporation ("JDM", "we", "us"), and govern your access to and use of the jdminc.online website, our mobile and web applications, the adapter portfolio and APIs, the pilot programme, and any related services (collectively, the "Services").
If you do not agree to these Terms, do not access or use the Services. If you accept these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
What JDM provides — and what is still in pilot.
JDM builds AI-native fintech applications, an adapter portfolio (12 domain-specialized QLoRA adapters live today on a Qwen2.5 base, 400+ in development), and the underlying inference stack (self-hosted FastAPI inference server with hot-swappable adapters and a custom MCP server for agent integration; NVIDIA NIM microservices on the production roadmap). Some Services are in pilot and may change, be limited to selected users, or be withdrawn without notice.
Availability, performance and features are not guaranteed during the pilot. We aim to be transparent about material changes and to give reasonable notice where practicable.
Eligibility, credentials and responsibility.
You must be at least 18 years old and legally able to enter contracts. You are responsible for the accuracy of information you provide, the security of your credentials, and all activity that occurs under your account.
You must notify us promptly at admin@jdminc.tech of any unauthorized use or suspected security incident on your account.
What you may not do with the Services.
- Reverse engineer, decompile or attempt to derive our model weights, adapter internals or training data.
- Use outputs of the Services to train, fine-tune or benchmark a competing model or adapter product.
- Scrape, spider or bulk-extract content, APIs or endpoints beyond the rate limits we publish or configure for your account.
- Circumvent authentication, rate limits, seat counts, tier restrictions or any technical protection measure.
- Use the Services to generate unlawful, defamatory, infringing, deceptive, fraudulent or harmful content, or to violate any person's privacy or rights.
- Interfere with, disrupt, or place undue load on the Services, or attempt to gain unauthorized access to any account, system or network.
- Resell, sublicense or otherwise transfer access to the Services except as expressly permitted in a written agreement with us.
Pilot seats, licensing tiers and billing.
Pilot Seat Reservations ($99) and adapter licensing tiers (Single Adapter $499, Vertical Bundle $1,999, Full Portfolio $9,999) are processed by Stripe. Prices are indicative during pilot and may change; the price you are shown at checkout is the price you are charged. Applicable taxes may be added at checkout.
Unless otherwise agreed in writing, licensing tier fees are one-time indicative payments that do not entitle you to further deliverables beyond those listed on /partners at the time of purchase. Recurring or negotiated engagements are set out in a separate order form or partner agreement.
Refund requests should be sent to admin@jdminc.tech within 30 days of the charge; refunds are assessed in good faith on a case-by-case basis. Chargebacks should be raised with Stripe. Fraudulent chargebacks may result in immediate suspension.
Scope of the licence we grant.
Subject to your compliance with these Terms and payment of applicable fees, JDM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the adapters and Services associated with the tier you have purchased, solely for your internal business purposes.
The licence does not transfer ownership of any adapter, model, prompt, dataset, weight or code. All rights not expressly granted are reserved. Co-exclusivity, territory or outright purchase — where offered — is documented in a separate written order form.
Ours, yours, and the boundary.
JDM and its licensors own all right, title and interest in and to the Services, including all software, models, adapters, prompts, datasets, benchmarks, documentation, trademarks, logos and the "look and feel" of the site. Nothing in these Terms transfers any such rights to you.
You retain ownership of the input content you submit ("Your Content"). You grant JDM a worldwide, royalty-free licence to host, process and use Your Content solely to operate, secure and improve the Services and to comply with law. We do not train foundation models on Your Content without a separate written agreement.
Ideas you send us.
If you send us feedback, suggestions or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them for any purpose without obligation or attribution to you. You warrant that any feedback you provide is your own and does not violate any third-party right.
Stripe, email, analytics and infrastructure.
The Services rely on third-party providers, including Stripe (payments), email delivery providers, analytics vendors and infrastructure providers. Your use of those services is governed by their terms and privacy policies. We are not responsible for the acts or omissions of third-party providers, but we choose them with care and hold them to contractual safeguards.
The Services are provided "as is".
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.
AI outputs may be inaccurate, incomplete or unsuitable for your use. You are responsible for evaluating outputs before relying on them, especially in regulated contexts. Nothing in the Services constitutes legal, tax, financial or investment advice.
What we can be liable for, and up to how much.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You cover us for your misuse.
You will defend, indemnify and hold harmless JDM and its affiliates, officers, employees and agents from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Services in violation of these Terms; (ii) Your Content; or (iii) your violation of any law or of any right of a third party.
How this agreement ends.
We may suspend or terminate your access to the Services at any time if you materially breach these Terms, if required by law, or if we discontinue the Services. You may stop using the Services at any time. Sections that by their nature should survive termination — including IP, disclaimers, liability limits, indemnity and governing law — will survive.
How we update these Terms.
We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by email or a prominent notice on the site. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
California law, Laguna Beach venue.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Services is the state and federal courts located in or nearest to Laguna Beach, California, and you consent to personal jurisdiction and venue in those courts.
